THESE TERMS CONTAIN A LIMITATION OF LIABILITY (SECTION 15), A DISCLAIMER OF WARRANTIES (SECTION 14), AN INDEMNIFICATION OBLIGATION (SECTION 16), AND A GOVERNING LAW AND DISPUTE RESOLUTION PROVISION (SECTION 20). PLEASE READ THESE SECTIONS CAREFULLY.


1. Introduction and Acceptance of Terms

1.1 These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Botwire LLC, a Louisiana limited liability company doing business as botwir3 ("Botwire," "botwir3," "we," or "us"), governing your access to and use of the botwir3 website located at https://botwir3.com (the "Site"), the botwir3 bot builder tool (the "Builder"), all downloadable software packages produced by the Builder (the "Runtime" or "Bot"), setup guides, documentation, and all related services (collectively, the "Services").

1.2 By accessing the Site, creating an account, purchasing any product, or downloading any software, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not access or use the Services.

1.3 If you are accessing or using the Services on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" refer to that entity.


2. Definitions

"Bot" or "Runtime" means the self-contained software package compiled and downloaded through the Builder, designed to run on your local machine.

"Builder" means the web-based bot configuration tool accessible through the Site, used to select modules, configure parameters, and compile a downloadable Runtime.

"Gate" means the configurable validation checkpoint within the Runtime that evaluates proposed actions against user-defined parameters before execution. The Gate is a function, not a guarantee.

"Ledger" means the local, append-only log file maintained by the Runtime on your machine, recording actions taken and validation results for your review.

"Platform" or "Third-Party Platform" means any external exchange, marketplace, broker, auction site, or service to which the Runtime connects using your credentials, including but not limited to those listed in our setup guides.

"Services" means, collectively, the Site, the Builder, the Runtime, setup guides, documentation, and all related products and services offered by botwir3.

"Spec" or "Spec Hash" means the SHA-256 hash of your bot configuration at the time of compilation, used for local integrity verification.

"Strategy" means the set of modules, parameters, rules, and configurations selected and defined by you within the Builder.

"User," "you," or "your" means the individual or legal entity that accesses the Site, uses the Builder, purchases a product, or downloads and operates the Runtime.


3. Description of Services

3.1 botwir3 provides a web-based Builder tool that allows you to configure trading automation software by selecting signal modules, edge calculation methods, execution styles, and discipline parameters. The Builder compiles your selections into a downloadable Runtime package.

3.2 The Runtime is a self-contained software package that runs on your local machine. Once downloaded, the Runtime operates independently. It does not communicate with botwir3 servers. There is no telemetry, no analytics, no crash reporting, and no network calls to botwir3. The Runtime is designed to function without any ongoing connection to botwir3.

3.3 botwir3 also provides setup guides and documentation to assist you in connecting the Runtime to Third-Party Platforms. These guides are informational resources, not operational support.

3.4 botwir3 does not operate bots on your behalf. botwir3 does not monitor running bots. botwir3 does not have access to your bot after download. If botwir3 ceases to exist, your downloaded Runtime continues to function.


4. Nature of Services — What botwir3 Is Not

4.1 BOTWIR3 IS NOT A FINANCIAL ADVISOR, INVESTMENT ADVISOR, BROKER, DEALER, EXCHANGE, OR MONEY TRANSMITTER. botwir3 does not provide financial, investment, legal, or tax advice of any kind. Nothing in the Services, the Site, the Builder, the Runtime, or any documentation constitutes a recommendation to buy, sell, hold, or trade any asset, security, commodity, cryptocurrency, or financial instrument. botwir3 does not recommend strategies, predict market outcomes, or evaluate the suitability of any strategy for any user.

4.2 BOTWIR3 DOES NOT CUSTODY FUNDS OR ASSETS. botwir3 never holds, controls, transmits, or has access to your money, cryptocurrency, securities, or any other assets. All transactions occur between you and the Third-Party Platform through credentials stored exclusively on your local machine.

4.3 BOTWIR3 DOES NOT STORE, TRANSMIT, OR ACCESS YOUR API KEYS OR CREDENTIALS. API keys, passwords, tokens, and other authentication credentials are stored in a local configuration file on the machine running the Runtime. These credentials are never transmitted to botwir3 or any third party by the Runtime. botwir3 has no mechanism to access, retrieve, or view your credentials at any time.

4.4 BOTWIR3 DOES NOT EXECUTE TRADES. The Runtime submits instructions to Third-Party Platforms using your credentials and your configured parameters. botwir3 is not a party to any transaction. botwir3 does not intermediate between you and any platform, counterparty, buyer, or seller.

4.5 BOTWIR3 DOES NOT MONITOR OR GUARANTEE BOT PERFORMANCE. Once downloaded, the Runtime operates outside of botwir3's control. botwir3 has no visibility into whether your bot is running, what actions it is taking, or what outcomes it is producing. Monitoring the bot is your responsibility.


5. License Grant

5.1 Licensed, Not Sold. The Runtime and all software provided through the Services are licensed to you, not sold. Botwire LLC retains all right, title, and interest in and to the Runtime, including all intellectual property rights therein.

5.2 Runtime License. Subject to your compliance with these Terms and payment of all applicable fees, Botwire LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and operate the Runtime on machines owned or controlled by you, solely for your personal or internal business use. This license is perpetual for any Runtime package you have lawfully downloaded and paid for.

5.3 Builder Access License. Subject to your compliance with these Terms and payment of all applicable fees, Botwire LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Builder through the Site for the purpose of configuring and compiling Runtime packages, in accordance with the terms of your purchased plan.

5.4 Guide License. Setup guides and documentation published on the Site are licensed for personal, non-commercial reference use. You may not republish, redistribute, or resell guide content.


6. License Restrictions

6.1 You shall not, and shall not permit any third party to:

(a) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Runtime or any component of the Services;

(b) Copy, modify, adapt, translate, or create derivative works based on the Runtime or any component of the Services;

(c) Rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Runtime or access to the Builder to any third party;

(d) Share, publish, or redistribute compiled Runtime packages, whether modified or unmodified;

(e) Remove, alter, or obscure any proprietary notices, labels, or marks on the Runtime or within the Services;

(f) Use the Services to develop a competing product or service;

(g) Use the Services for any unlawful purpose or in violation of any applicable law or regulation;

(h) Circumvent or attempt to circumvent any technical limitations, access controls, or usage restrictions in the Builder or the Site.

6.2 Any breach of this Section 6 constitutes a material breach of these Terms and may result in immediate termination of all licenses granted herein.


7. User Responsibilities

7.1 You are solely responsible for your bot. You define the strategy. You configure the parameters. You select the modules. You set the discipline band. You monitor the bot. You verify execution outcomes. You bear all consequences of the bot's operation, including all financial gains and losses.

7.2 You are responsible for your credentials. You are solely responsible for creating, securing, managing, and revoking API keys and other credentials used by the Runtime. botwir3 has no access to and no responsibility for the security of your credentials.

7.3 You are responsible for your operating environment. You are solely responsible for the security, uptime, connectivity, and maintenance of the machine on which the Runtime operates, including operating system updates, network security, and access control.

7.4 You are responsible for compliance with applicable laws. You shall comply with all applicable laws, regulations, and rules in your jurisdiction, including but not limited to securities laws, tax laws, anti-money laundering laws, and any regulations applicable to the markets in which you operate your bot.

7.5 You are responsible for evaluating your strategy. botwir3 does not evaluate whether your strategy is sound, profitable, legal, or suitable for your financial situation. The Gate validates actions against the parameters you configured. It does not evaluate whether those parameters are good. A disciplined bot can still lose money if the strategy is wrong. That responsibility is yours.

7.6 You represent and warrant that you are at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is greater) and have the legal capacity to enter into these Terms.


8. Third-Party Platform Compliance

8.1 The Runtime is designed to connect to Third-Party Platforms using your credentials and through those platforms' published APIs. botwir3 is not affiliated with, endorsed by, or partnered with any Third-Party Platform unless explicitly stated.

8.2 You are solely responsible for verifying that automated operation is permitted under the current terms of service of each Third-Party Platform you connect to. Platform terms change. API access can be restricted, modified, or revoked. It is your obligation to review and comply with the applicable platform's terms before deploying the Runtime.

8.3 botwir3 provides setup guides that describe how to configure the Runtime for specific platforms. These guides are informational. They are not representations that a platform permits automated trading, nor are they guarantees of continued API availability.

8.4 botwir3 is not liable for any account suspension, ban, penalty, or adverse action taken by a Third-Party Platform against you as a result of your operation of the Runtime, regardless of whether a botwir3 setup guide exists for that platform.

8.5 When you use the Runtime to connect to a Third-Party Platform, you are also bound by that platform's terms of service, privacy policy, and applicable agreements. In the event of a conflict between these Terms and a Third-Party Platform's terms, you are responsible for resolving that conflict. botwir3 is not a party to your relationship with any Third-Party Platform.


9. Purchases and Payment

9.1 botwir3 offers products and services at the prices published on the Site at the time of purchase. All prices are in United States Dollars (USD) unless otherwise stated.

9.2 Payment is processed through Stripe, Inc. ("Stripe"), a third-party payment processor. By making a purchase, you agree to Stripe's terms of service and privacy policy. botwir3 does not store your credit card number, debit card number, or bank account information. Payment card data is transmitted directly to Stripe and handled in accordance with Stripe's PCI-DSS compliance obligations.

9.3 For one-time purchases, the full amount is charged at the time of purchase. For subscription plans (monthly build bands), charges recur on a monthly basis until you cancel your subscription through your account settings or by contacting hello@botwir3.com. Cancellation takes effect at the end of the current billing period.

9.4 All fees are exclusive of applicable taxes. You are responsible for any sales tax, use tax, value-added tax, or other tax imposed by any governmental authority on your purchase, except for taxes based on Botwire LLC's income.

9.5 botwir3 reserves the right to change prices at any time. Price changes do not affect purchases already completed. For active subscriptions, botwir3 will provide at least 30 days' notice before any price increase takes effect, and you may cancel before the new price applies.


10. Refund Policy

10.1 Digital downloads. The Runtime is a digital product. Due to the nature of downloadable software, refunds are available only if you have not yet downloaded or compiled a Runtime package from the Builder. Once a Runtime package has been compiled and downloaded, the purchase is final and no refund will be issued.

10.2 Pre-download refund window. If you have purchased Builder access but have not yet compiled or downloaded any Runtime package, you may request a full refund within fourteen (14) days of purchase by contacting hello@botwir3.com.

10.3 Subscription cancellation. You may cancel a monthly subscription at any time. Cancellation takes effect at the end of the current billing period. No pro-rated refunds are issued for partial billing periods.

10.4 Refunds are processed through Stripe and returned to the original payment method. Processing times depend on your financial institution.

10.5 botwir3 is not responsible for any fees charged by your financial institution in connection with a refund.


11. Intellectual Property

11.1 The Services, including but not limited to the Site, the Builder, the Runtime code, setup guides, documentation, trademarks, logos, trade names, and all content and materials available through the Services, are the exclusive property of Botwire LLC and are protected by United States and international intellectual property laws.

11.2 The botwir3 name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Botwire LLC. You may not use such marks without the prior written permission of Botwire LLC.

11.3 Nothing in these Terms grants you any right, title, or interest in the Services or any intellectual property of Botwire LLC, except for the limited license rights expressly granted in Section 5.


12. User-Created Content and Strategy Ownership

12.1 Your strategies belong to you. Strategies, configurations, parameters, band settings, module selections, and other bot specifications created by you through the Builder are your intellectual property. Botwire LLC claims no ownership rights in your user-created configurations.

12.2 botwir3 does not collect, store, transmit, or have access to your compiled bot configurations after download. Your strategy data exists only on your local machine.

12.3 If botwir3 introduces a marketplace feature allowing users to publish and sell strategy configurations (a future product), participation in that marketplace will be governed by separate terms published at that time. Those future terms will not retroactively apply to strategies created before the marketplace launch.


13. Risk Acknowledgment

BY USING THE SERVICES, YOU ACKNOWLEDGE AND AGREE TO THE FOLLOWING:

13.1 Market risk. Trading and transacting in any market — including but not limited to cryptocurrency, equities, forex, prediction markets, collectibles, and e-commerce — involves substantial risk of loss. You may lose some or all of your capital. Past performance does not guarantee future results. botwir3 makes no representations about the profitability of any strategy or the performance of any market.

13.2 Strategy risk. The Runtime executes the strategy you configured. If the strategy is flawed, the bot will follow flawed rules — consistently. The Gate validates actions against your configured parameters. It does not evaluate whether those parameters are correct, profitable, or suitable. A disciplined bot following a bad strategy will lose money in an orderly fashion.

13.3 Technology risk. Software may contain bugs, errors, or unexpected behavior. Network connections may fail. APIs may change without notice. Third-Party Platforms may experience downtime, modify their interfaces, or restrict access. The machine running the Runtime may lose power, connectivity, or suffer hardware failure. You are responsible for monitoring your bot and your operating environment.

13.4 Regulatory risk. Laws and regulations governing automated trading, cryptocurrency, securities, and other markets vary by jurisdiction and are subject to change. You are solely responsible for determining whether your use of the Runtime complies with all applicable laws and regulations in your jurisdiction. botwir3 does not provide legal or regulatory guidance.

13.5 No insurance. Assets traded or managed through bots built with the Services are not insured by botwir3, any government agency, or any private insurance program. Losses are borne solely by you.


14. Disclaimers

14.1 THE SERVICES, INCLUDING THE SITE, THE BUILDER, THE RUNTIME, SETUP GUIDES, AND ALL DOCUMENTATION, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

14.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BOTWIRE LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

14.3 WITHOUT LIMITING THE FOREGOING, BOTWIRE LLC MAKES NO WARRANTY OR REPRESENTATION THAT: (A) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE, RELIABLE, OR PROFITABLE; (D) THE RUNTIME WILL FUNCTION WITHOUT DEFECTS ON YOUR SPECIFIC HARDWARE, OPERATING SYSTEM, OR NETWORK ENVIRONMENT; OR (E) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

14.4 BOTWIRE LLC DOES NOT WARRANT OR REPRESENT THAT ANY THIRD-PARTY PLATFORM WILL PERMIT AUTOMATED ACCESS, MAINTAIN API AVAILABILITY, OR HONOR TRANSACTIONS SUBMITTED BY THE RUNTIME. THIRD-PARTY PLATFORM AVAILABILITY AND TERMS ARE OUTSIDE OF BOTWIRE LLC'S CONTROL.

14.5 NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM BOTWIRE LLC OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

14.6 THESE DISCLAIMERS DO NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.


15. Limitation of Liability

15.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOTWIRE LLC, ITS MEMBER, MANAGER, OFFICERS, AGENTS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, TRADING LOSSES, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF BOTWIRE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.2 LIABILITY CAP. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF BOTWIRE LLC ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO BOTWIRE LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT MADE ANY PAYMENTS TO BOTWIRE LLC, BOTWIRE LLC'S MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

15.3 THE LIMITATIONS IN THIS SECTION 15 APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, AND EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

15.4 BOTWIRE LLC IS NOT LIABLE FOR ANY LOSSES, DAMAGES, OR ADVERSE OUTCOMES RESULTING FROM: (A) YOUR STRATEGY, CONFIGURATION, OR PARAMETERS; (B) THE OPERATION OR MALFUNCTION OF YOUR BOT; (C) ACTIONS TAKEN OR NOT TAKEN BY THIRD-PARTY PLATFORMS; (D) MARKET MOVEMENTS, PRICE CHANGES, OR ECONOMIC CONDITIONS; (E) YOUR FAILURE TO MONITOR YOUR BOT OR YOUR OPERATING ENVIRONMENT; (F) UNAUTHORIZED ACCESS TO YOUR CREDENTIALS; OR (G) YOUR FAILURE TO COMPLY WITH APPLICABLE LAWS OR THIRD-PARTY PLATFORM TERMS.

15.5 SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.


16. Indemnification

16.1 You agree to defend, indemnify, and hold harmless Botwire LLC, its member, manager, officers, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and costs) arising out of or relating to:

(a) your use of the Services, including the operation of any bot built with the Services;

(b) your violation of these Terms;

(c) your violation of any applicable law, regulation, or rule;

(d) your violation of any Third-Party Platform's terms of service;

(e) any third-party claim arising from your operation of the Runtime, including claims related to financial losses, unauthorized transactions, or regulatory violations;

(f) any claim that your user-created strategy, configuration, or content infringes any intellectual property or other right of any person or entity.

16.2 Botwire LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with Botwire LLC's defense of such claim.


17. Termination

17.1 Termination by you. You may terminate your use of the Services at any time by ceasing to use the Site and the Builder. You may cancel any active subscription through your account settings or by contacting hello@botwir3.com.

17.2 Termination by Botwire LLC. Botwire LLC may suspend or terminate your access to the Builder and the Site at any time, with or without cause, with or without notice. Grounds for termination include, without limitation: breach of these Terms; violation of applicable law; fraudulent, abusive, or illegal activity; or conduct that Botwire LLC reasonably believes is harmful to other users, Third-Party Platforms, or Botwire LLC.

17.3 Effect of termination on the Runtime. Termination of your access to the Builder and the Site does not affect Runtime packages previously downloaded and paid for. Previously downloaded Runtimes will continue to function on your local machine. Botwire LLC has no technical ability to disable, deactivate, or remotely affect a Runtime package that has been downloaded to your machine.

17.4 Surviving provisions. Sections 4 (Nature of Services), 5.1 (Licensed, Not Sold), 6 (License Restrictions), 7 (User Responsibilities), 11 (Intellectual Property), 12 (User-Created Content), 13 (Risk Acknowledgment), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 20 (Governing Law), and 21 (General Provisions) shall survive any termination or expiration of these Terms.


18. Export Controls and Sanctions Compliance

18.1 The Services are subject to United States export control and sanctions laws and regulations. You represent and warrant that you are not located in, under the control of, or a national or resident of any country or territory subject to United States sanctions, and that you are not listed on any United States government list of prohibited or restricted parties, including the Specially Designated Nationals and Blocked Persons List (SDN List) maintained by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury, or the Denied Persons List or Entity List maintained by the Bureau of Industry and Security (BIS) of the U.S. Department of Commerce.

18.2 You shall not export, re-export, or transfer the Runtime or any component of the Services, directly or indirectly, to any country, territory, entity, or person prohibited by United States export control and sanctions laws.


19. Modifications to Terms

19.1 Botwire LLC reserves the right to modify these Terms at any time. Material changes will be communicated through the Site or via the email address associated with your account at least thirty (30) days before the updated Terms take effect. The updated Terms will be published on the Site with a revised "Last Updated" date.

19.2 Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

19.3 Updates to these Terms apply to future purchases and Builder access. Previously downloaded Runtime packages continue to operate under the terms in effect at the time of download. Botwire LLC does not and cannot retroactively modify the terms governing software that has already been downloaded and is running on your local machine.


20. Governing Law and Dispute Resolution

20.1 These Terms and all matters arising out of or relating to these Terms, including non-contractual disputes and claims, shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of laws principles.

20.2 Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state courts of the Parish of Livingston, State of Louisiana, or the United States District Court for the Middle District of Louisiana, and you consent to the personal jurisdiction of such courts and waive any objection to venue therein.

20.3 Informal Resolution. Before filing any legal claim, you agree to attempt to resolve any dispute with Botwire LLC informally by contacting hello@botwir3.com. The parties agree to negotiate in good faith for a period of at least thirty (30) days before initiating any legal proceedings.


21. General Provisions

21.1 Entire Agreement. These Terms, together with the Privacy Policy and any other policies or terms incorporated by reference, constitute the entire agreement between you and Botwire LLC with respect to the Services and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.

21.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

21.3 Waiver. The failure of Botwire LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by Botwire LLC.

21.4 Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Botwire LLC. Botwire LLC may assign or transfer these Terms, in whole or in part, without restriction and without notice to you. Any purported assignment in violation of this section is null and void.

21.5 Independent Contractors. The relationship between you and Botwire LLC is that of independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between you and Botwire LLC.

21.6 Force Majeure. Botwire LLC shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, strikes, government actions, power failures, internet disruptions, or Third-Party Platform outages.

21.7 Notices. Notices to you may be provided through the Site or via the email address associated with your account. Notices to Botwire LLC shall be sent to hello@botwir3.com or to the registered office address listed in Section 22. Notice is deemed given when sent by email or when posted on the Site.

21.8 Headings. Section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.
